Terms and conditions of sale

1. Purpose

These terms govern the continuing professional training services and the medical repatriation nurse escort services sold by KABUTO, a simplified single‑shareholder joint‑stock company (SASU), SIREN 109 094 649, registered as a training provider under number 93132537313.

KABUTO works exclusively for business clients: companies, non‑governmental organisations, public bodies and assistance companies. No service is sold to private individuals. Training always takes place at the client’s site, never in KABUTO premises.

Any order implies their acceptance. They prevail over the client's purchasing terms, unless otherwise agreed in writing.

2. Order and agreement

Each service is covered by a quote setting out the programme, the duration, the headcount, the dates, the location and the price. The order is firm on receipt of the signed quote.

For training, an agreement complying with article R.6353‑1 of the French Labour Code is drawn up. The internal rules applicable to trainees and the information booklet are given to them before the session starts.

3. What the client provides

• The participants, available for the agreed slot
• A covered space for the classroom part
• Access to the work areas needed for the scenarios
• The site fire equipment for the modules that require it: breathing apparatus, hoses, nozzles, extinguishers and fire ground
• The personal protective equipment of its own employees
• Access permits, safety inductions and, where applicable, visas and entry documents for the country

4. Prices, invoicing and payment

Prices are stated excluding tax. KABUTO is applying for the VAT exemption provided for in article 261‑4‑4° a of the French General Tax Code for its continuing professional training activities, subject to the decision of the tax authorities.

Travel, accommodation and meal costs for the trainers are invoiced in addition, at actual cost, unless a flat rate is stated in the quote.

Unless otherwise stated, payment falls due 30 days from the invoice date. Any delay automatically incurs penalties at the interest rate applied by the European Central Bank plus 10 points, together with a flat recovery fee of 40 euros.

5. Cancellation and postponement

• Cancellation by the client more than 15 days before: free of charge
• Between 15 and 7 days before: 50% of the amount is due
• Less than 7 days before, or participants absent: 100% of the amount is due
• Travel and accommodation costs already committed and non‑refundable remain due in all cases

KABUTO may postpone or cancel a session in the event of force majeure, illness of the trainer, refusal of site access, deterioration of the local security situation or withdrawal of a permit. Sums already paid are then refunded or carried over, at the client's choice. No compensation is due on this account.

6. What the service does not cover

Training does not replace the employer's occupational health and safety obligations, nor the emergency protocols specific to each site. The client remains solely responsible for its own safety organisation.

For medical repatriation, KABUTO provides the nurse escort. Medical control is the responsibility of the client's physician. Transport arrangements, tickets, permits and the funding of costs remain the responsibility of the client or its assistance company.

7. Liability and insurance

KABUTO holds professional liability insurance, the certificate for which is sent before every mission.

KABUTO's liability is limited to the amount of the service. It does not cover indirect damages, in particular loss of business.

8. Accessibility

Our courses are open to people with disabilities. The necessary adjustments are examined case by case before the session with our disability officer, who can be reached on 06 51 36 51 97 or at contact@kabuto‑training‑evac.fr.

9. Intellectual property

The training materials remain the property of KABUTO. They are handed over for the trainees' own use and may not be reproduced or distributed without written agreement.

10. Personal data

The processing of trainees’ data is described in our privacy policy. Surnames, first names and assessment results are processed in order to produce the end‑of‑training certificates of attendance provided for in article L6353‑1 of the French Labour Code and the SST certificates.

11. Complaints

Any complaint is to be sent in writing to contact@kabuto‑training‑evac.fr. An acknowledgement of receipt is sent within 5 working days and a reasoned reply within 30 days.

12. Governing law

These terms are governed by French law. Failing an amicable agreement, the dispute falls to the competent French courts.
